These Digital Product Terms of Use and Legal Disclaimers (the "Terms") govern the purchase, download, and use of all digital products, including but not limited to SOP templates, financial dashboards, tax strategy tools, hiring toolkits, and other business resources (collectively, the "Digital Products") provided by HERA Venture Partners LLC ("Company," "we," "us," or "our") through heraventure.com. 

By purchasing or downloading any Digital Product, you ("Customer," "you," or "your") agree to be bound by these Terms. 

Upon payment of the purchase price (if applicable) or completion of the download process, HERA Venture Partners LLC grants you a non-exclusive, non-transferable, revocable, single-user license to use the Digital Products for your own internal business purposes.  

Prohibited Uses: You may not: 

• Sublicense, resell, redistribute, or provide access to the Digital Products to any third party. 
• Modify the Digital Products to create derivative works for the purpose of resale or distribution. 
• Share login credentials or direct download links with individuals outside of your immediate organization. 
• Use the Digital Products in any way that violates applicable local, state, or federal laws. 

All Digital Products are the sole and exclusive property of HERA Venture Partners LLC. This includes, but is not limited to, the design, layout, formulas, workflows, text, and graphics contained within the templates and dashboards. Your purchase or download of a Digital Product grants you a license to use the content, but does not transfer any ownership or intellectual property rights to you. All rights not expressly granted herein are reserved by the Company. 

Brand Name and Logo: The Company’s brand name and logo are the property of an intellectual property holding company and are used by HERA Venture Partners LLC pursuant to a license agreement. 

Intellectual Property Protection Clause: All content included in the Digital Products and on any associated download pages or materials (including without limitation text, graphics, logos, formatting, structures, methods, processes, worksheets, spreadsheets, formulas, templates, frameworks, and compilations) is owned by HERA Venture Partners LLC and is protected by United States and international copyright and other intellectual property laws. Unauthorized use, copying, sharing, distribution, resale, republication, or creation of derivative works (except as expressly permitted under these Terms for your internal use) is prohibited and may result in legal action.

While HERA Venture Partners LLC strives to provide high-quality templates based on over 15 years of industry experience, we do not warrant that the Digital Products are error-free or suitable for your specific business needs.  

No Guarantee of Results: Business success depends on a variety of factors beyond the Company’s control. HERA Venture Partners LLC does not guarantee any specific financial gain, operational improvement, or business outcome resulting from the use of these Digital Products. 

General Disclaimer for SOPs and Toolkits (Templates): Any SOPs, playbooks, checklists, toolkits, hiring resources, policies, procedures, scripts, or other operational templates included in the Digital Products are provided as general examples and starting points only. You are responsible for reviewing, customizing, and implementing them to fit your specific business, industry, circumstances, and risk tolerance. You should ensure your use of any template complies with applicable local, state, federal, and international laws and regulations (including employment, privacy, and consumer protection laws, as applicable). Due to the digital nature of the products, all sales are final. Once a Digital Product has been purchased or downloaded, HERA Venture Partners LLC does not offer refunds, returns, or exchanges. This no-refund policy applies to all digital downloads, including templates, SOPs, dashboards, and toolkits, regardless of whether you have accessed or used the file(s). You agree to indemnify and hold harmless HERA Venture Partners LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your misuse of the Digital Products or your violation of these Terms. 

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Los Angeles County, California. 

HERA Venture Partners LLC reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting to our website. Your continued use of the Digital Products following the posting of changes constitutes your acceptance of such changes.
